1.   Introduction

By using the Platform, you confirm that you have read and fully understood the Terms and agree to them.

The Platform is designed for lawyers, law firms, their current and potential clients, and anybody else who needs legal help or is just interested in law.

2.   Registration and Account


Certain pages and functions on the Platform require prior registration – creating an account, lawyer or law firm profile. User and profile names are claimed on first-come first-serve basis.

You are allowed to create one lawyer profile only if you are eligible to practice law (to represent in courts, consult on legal matters, etc.) in the selected country.

You are allowed to create one law firm profile only if you are authorized to act on behalf of a legal entity, which provides legal and/or tax services, or you are otherwise granted a permission from such legal entity to create the account.

By creating, editing, and maintaining your account, you must provide accurate and true data, and maintain the confidentiality of the credentials for entering your account. We are not responsible for any loss or damage that results from an authorized use of your account. Therefore, you should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password and other sensitive information.

You understand and agree that certain information from your account (except for private documents, passwords and other sensitive data) will be publicly available on the Platform and may be subject to reviews and discussions by other users.

We are not responsible for the content that other users publish with respect to your account but will moderate, block or remove the content that we reasonably believe violates these Terms or applicable law.

We reserve the right to block or remove your account or any content associated with such account for any reason or without a reason at any time.


3.   Access to the Platform


We exert reasonable efforts to make the Platform available 24/7/365, but from time-to-time we will have scheduled outages for maintenance purposes.

Where feasible we may inform you about outages and report on their nature and reason, though we are under no obligation to do so. We will not be liable if for any reason all or any part of the Platform is unavailable at any time and for any period.

The Platform is free of charge except where it is explicitly stated in these Terms. We reserve the right to make any functionality or service subject to prior registration, login, payment and the like action, as well as to remove it.

We reserve the right to refuse, suspend or terminate your access to the Platform at any time and for any reason or without a reason provided that we remove your personal data and unless otherwise explicitly stated in the Terms or applicable law.

All statements or opinions expressed by users on the Platform, other than information posted by us, are solely the opinions and the responsibility of the person or entity providing them, and they do not necessarily reflect our opinion.


8.   Reviews and Recommendations


Ratings of lawyers and law firms on the Platform are based on reviews made by other users. Such reviews are users’ own assessment and do not represent our endorsement of any particular lawyer or firm, and are not a guarantee of a quality of service or competency of any lawyer or law firm.

Any search results, suggested or advertised content on the Platform, such as profiles of lawyers and law firms, does not represent our endorsement of any particular lawyer or law firm, and are not a guarantee of a quality of service or competency of any particular lawyer or law firm.


9.   Outgoing Links


If the Platform contains links to other sites and resources provided by third parties, these links are provided for your convenience only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third party’s websites linked to the Platform, you do so entirely at your own risk and subject to the terms of use of such websites.


10.   Intellectual Property Rights


10.1.   Our intellectual property rights

Except for materials that you and other users upload to the Platform, all materials displayed or performed on the Platform, including, but not limited to, text, graphics, tools, photographs, images, illustrations, software, source code, audio and video, and animations (“our materials”) are our property and/or property of third parties, and are protected by copyright laws. All rights to such materials not expressly granted are reserved by us.

Other than as expressly set forth in these Terms, you may not copy, modify, publish, transmit, upload, participate in the transfer or sale of, reproduce, create derivative works based on, distribute, perform, display, or in any way exploit any of our materials in whole or in part.

These Terms permit you to access, read, print, display, execute, download or copy our materials for your personal use only subject to the following conditions and restrictions:

10.2.   Your intellectual property rights

10.2.1.   Public materials

You agree that all materials, including, without limitation, text, graphics, logos, photographs, images, illustrations and such other information (except for trademarks and logos), that you upload to the Platform publicly (for example, legal documents, articles, questions, answers, comments), are perpetually and irrevocably licensed to us on a worldwide, royalty-free, non-exclusive basis pursuant to Creative Commons licensing terms CC-BY-SA (see more at https://creativecommons.org/licenses/by-sa/4.0/), and you grant us the perpetual and irrevocable right to access, use, process, copy, distribute, export, display and commercially exploit such materials.

You may modify or delete your public materials at any time unless we are required to retain such materials according to applicable law.

You may also use any materials, which other users uploaded to the Platform publicly, according to the licensing terms, under which they were uploaded.

10.2.2.   Private materials

You agree that all materials, including, without limitation, text, graphics, logos, photographs, images, illustrations, and such other information, that you upload to the Platform privately (for example, legal documents that you upload without public access) and intellectual property rights thereto belong to you, and you only give us the right to store and process (including by our software and algorithms) such materials for your use on the Platform. All rights to such materials not expressly granted to us are reserved by you.

You may modify or delete your private materials at any time unless we are required to retain such materials according to applicable law.

10.2.3.   Responsibility

You are solely responsible for the materials that you upload. This means you assume all risks related to it, including someone else’s reliance on its accuracy, or claims relating to intellectual property or other legal rights.

You may also upload materials that you have published elsewhere, as long as you have the rights required to do so.

By uploading materials on the Platform, you represent and confirm that you have the right to do so, and it does not conflict with any other agreement you have made, applicable law, rules and regulations.

You waive and hold harmless us and our affiliates, licensees, and service providers from any claims and actions, including, but not limited to, by law enforcement authorities, resulting from the materials that you uploaded.


11.   Intellectual property Infringement


If you believe that any material on or linked to by the Platform violates your or somebody else’s intellectual property rights, inform us via email at team@lawyerhill.com. We will investigate such notices and respond, and where appropriate, at our sole discretion, remove the infringing material, disable all links to the infringing material, block users that deliberately or repeatedly infringe copyrights or other intellectual property rights.


12.   Security


We take reasonable efforts to make the Platform secure and safe. You can read more about it on our security page https://lawyerhill.com/en/security and in our Privacy Policy. If you find any security vulnerability on the Platform, please inform us via email at team@lawyerhill.com, but do not make the vulnerability public before it has been fixed.

You are not allowed to use the Platform or other tools in any way that breaks security of the Platform, harms the reliability or integrity of the Platform or its data. Non-technical attacks such as social engineering and phishing, against employees or users of the Platform, are also forbidden.


13.   Disclaimer and Warranties


The Platform is provided on an "as is" and "as available" basis.

We make no representations or warranties of any kind, express or implied, with regard to anything displayed or performed on the Platform, or the Platform itself in whole or in part.

Neither we nor any person associated with us makes any warranty or representation with respect to the completeness, fitness, security, reliability, quality, accuracy, or availability of any services and functionality of the Platform.

You agree that you use the Platform and everything displayed or performed on the Platform at your own risk.

The foregoing does not affect any warranties which cannot be excluded or limited under applicable law.


14.   Limitation of Liability


To the maximum extent permitted by law, we and our affiliates will not be liable under contract, tort, strict liability, negligence or any other legal or equitable theory with respect to the Platform for all or any of the following:

15.1.   Assignment

We reserve the right to assign our rights and obligations under these Terms (in whole or in part) without your consent to an individual or company, including, without limitation, in connection with a merger, acquisition, corporate restructuring or reorganization, or due to the sale of all or substantially all of our assets.

15.2.   No waiver

If we do not exercise a particular right under these Terms, that does not waive it.

15.3.   Severability

If any provision of these Terms is found invalid by a court of competent jurisdiction, you agree that the court should try to give effect to the parties’ intentions as reflected in the provision and that other provisions of the Terms will remain in full effect.

15.4.   Entire agreement

These Terms, including Privacy Policy and Code of Conduct, are the whole agreement between you and us with regard to the Platform.

15.5.   Changes to these Terms

We may change these Terms unilaterally at any time.

Changes to these Terms are effective when they are posted on the Platform.

We will inform you about any significant changes via email and/or a prominent notice on the Platform prior to a change becoming effective and posting the updated Terms on the Platform.

We recommend that you review these Terms periodically for any changes.
