Terms of Use


1. Introduction

These Terms of Use (the “Terms”), including Privacy Policy and Code of Conduct, are a binding agreement between you and LawyerHill [For now it’s just a web-site, no company is registered yet]. The Terms govern the use of all and any web pages on https://lawyerhill.com (the “Platform”), including content, software, and personal data.

By using the Platform, you agree to the Terms and confirm that you have read them. Otherwise you may not use the Platform.

The Platform is designed for lawyers, law firms, their clients, and anybody else who is interested in law from all over the world. Our mission is to make legal services more accessible and easier to provide with the help of technologies.

You fully understand and agree that:

The Terms may change at any time. If a change is material, we’ll let you know before it takes effect. By using the Platform on or after that effective date, you agree to the new Terms.


2. Registration and Accounts

Some pages on the Platform require a prior registration – creating an account as a lawyer, law firm or regular user. User and profile names are claimed on a first-come first-serve basis.

You are allowed to create a lawyer account only if you are eligible to practice law in the jurisdiction of your permanent residence.

You are allowed to create a law firm account only if you work at or are authorized to act on behalf of a legal entity, regardless of its corporate form, that provides legal and/or tax services.

By creating, editing, and maintaining your account, you are obliged to provide accurate and true data, and to maintain the confidentiality of the credentials to your account. We are not responsible for any loss that results from an authorized use of your account.

Information from your account (except for passwords, private documents and other sensitive data) will be publicly available on the Platform and may be subject to reviews and discussions by other users.

We are not responsible for the content other users publish with respect to your account but will remove or block the content that we reasonably believe violates the Terms or applicable law.

We reserve the right to block or remove your account or content for any reason at any time.


3. Access to the Platform

We will exert reasonable efforts to make the Platform available 24/7/365, but from time-to-time we will have scheduled outages for maintenance purposes and other upkeep.

Where feasible, we may, at our sole discretion, make efforts to inform you about any outages and report on the nature and reason for any outages that may occur in an open and transparent manner, though we are under no obligation to do so, and in any case will not be liable for any downtime.

The Platform is free of charge except where it’s explicitly stated in these Terms. We reserve the right to make any feature or service subject to prior registration, signing in, payment and the like action, as well as to remove it or add new one.

We reserve the right to refuse, suspend or terminate your access to the Platform at any time and for any reason provided that we remove your personal data and unless otherwise explicitly stated herein.

You are solely responsible for ensuring that you use the Platform according to the Terms and in compliance with all laws, rules and regulations applicable to you.

The right to access the Platform is revoked where these Terms or the use of any part of the Platform is prohibited or conflicts with any applicable law, rule or regulation.


4. Age Eligibility

You must be at least 13 (or 16 if you are located within the European Union) years old to access or use the Platform, including without limitation to complete an account registration.

By using the Platform in any manner, you represent and warrant that you are at least 13 (or 16 if you are located within the European Union) years of age.

If you are under 13 (or 16 if you are located within the European Union) years old, you may not, under any circumstances or for any reason, access or use the Platform in any manner, and may not provide any personal information on the Platform (including, for example, a name, address, telephone number or email address).


5. Rights and Obligations

You have the right to discontinue using, or terminate, your account whenever you like, and subject to the Terms, control the usage and sharing of your account information.

You have the right to create, edit, and remove all and any of your content on the Platform provided it does not violate the Terms and applicable law.

You may remove or request us to remove your personal data or other data that you have proper rights to for making such requests.

You may request removal of any content on the Platform, which you can show violates the Terms, intellectual property rights, or applicable law. Upon such a request we will investigate it and remove the content if we reasonably believe that it violates the Terms, intellectual property rights, or applicable law.

You are not allowed to publish any content that knowingly violates somebody else's rights or applicable law.

You must report to us any violation of these Terms that you come across while using the Platform.

You are solely responsible for obtaining and maintaining any equipment or ancillary services needed to connect to use the Platform, including without limitation, modems, hardware, software, and telecommunication service.

You are not allowed to use any spider, crawler, robot scripts or other automatic means to access and use the Platform for any purpose, including monitoring or copying content.

You must refrain from engaging in any disruptive, abusive, or nefarious behavior on the Platform, including without limitation DoS and DDoS attacks and spam.


6. Reviews and Recommendations

Ratings of lawyers and law firms on the Platform are based on other users reviews. Such reviews are users’ own assessments and do not represent our endorsement of any particular lawyer or firm, and are not a guarantee of a lawyer's or firm’s quality of service or competency.

Other rules for posting reviews, opinions and comments on the Platform are set forth in our Code of Conduct.

The search results, suggested or advertised lawyers and law firms, or other content on the Platform do not represent an endorsement of any particular lawyer or firm, and are not a guarantee of a lawyer's or firm’s quality of service or competency.


7. Content

7.1 LawyerHill Content

All materials displayed or performed on the Platform (except for uploaded documents and templates), including but not limited to text, graphics, tools, photographs, images, illustrations, software or source code, audio and video, and animations (other than user content as described herein) are the property of LawyerHill and/or third parties and are protected by copyright laws (the “LawyerHill Content”).

All trademarks, service marks, and trade names are proprietary of LawyerHill (except for those trademarks, service marks, and trade names that appear in user content and are not owned by LawyerHill) and/or third parties, and use of the Platform means you agree to abide by all copyright notices, information, and restrictions contained in any content accessed through the Platform.

Other than as expressly set forth in these Terms, you may not copy, modify, publish, transmit, upload, participate in the transfer or sale of, reproduce (except as provided herein), create derivative works based on, distribute, perform, display, or in any way exploit any of content on LawyerHill, software, materials, or the Platform in whole or in part.

You may download or copy the content on the Platform, and other items displayed there, for personal use provided that you maintain all copyright and other notices.

If you download software when using the Platform, including any files, images incorporated in or generated by the software (collectively, the “Software”), it is licensed to you by LawyerHill or third party licensors for your personal, non-commercial use, and no title to the Software shall transfer to you.

LawyerHill displays content that is created by LawyerHill and its users. We may review and screen (either manually or automatically) content to determine whether it is illegal or violates our policies, and may remove or refuse to display content that we reasonably believe violates our policies or applicable law.

7.2 User Content

You agree that any and all content, including without limitation text (questions, answers, comments, etc.), images, illustrations, and product feedback, which you publish publicly on the Platform (collectively, “User Content”), is perpetually and irrevocably licensed to LawyerHill on a worldwide, royalty-free, non-exclusive basis pursuant to Creative Commons licensing terms (CC-BY-SA).

Note that the User Content doesn't include your personal data, uploaded documents and templates. All intellectual rights to your uploaded documents and templates belong to you and you hereby grant LawyerHill only the right to analyse and process such content to improve the Platform.

You are responsible for the content you post. This means you assume all risks related to it, including someone else’s reliance on its accuracy, or claims relating to intellectual property or other legal rights.

You may post content on the Platform that you have published elsewhere, as long as you have the rights you need to do so.

By posting any content on the Platform, you represent and confirm that you have the right to do so, and it does not conflict with any other agreement you’ve made or applicable law.

We reserve the right remove any content you post for any reason at is sole discretion.


8. Security

We will use our best efforts to make usage of the Platform secure and safe.

If you find a security vulnerability on the Platform, please inform us by sending an email to team@lawyerhill.com. Do not make the vulnerability public before it’s been fixed.

You are not allowed to use the Platform or other tools in any way that breaks security on of the Platform, except when reporting a vulnerability and after informing us.

It is forbidden to perform any attack that could harm the reliability or integrity of the Platform or data. DDoS/spam attacks are not allowed.

Do not attempt to gain access to another user’s account or data. No non-technical attacks such as social engineering, phishing, or physical attacks against our employees, users, or infrastructure, are allowed.

Document templates that you upload to the Platform are stored encrypted. Documents that you download, the answers and data you enter to that end are stored only within your computer, and we do not send them to any server, unless explicitly confirmed by you.


9. Disclaimer and Warranties

TO THE MAXIMUM EXTENT ALLOWED BY LAW, LAWYERHILL DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, WHETHER EXPRESS, IMPLIED, OR STATUTORY. LAWYERHILL PROVIDES NO GUARANTEES THAT THE SERVICES WILL FUNCTION WITHOUT INTERRUPTION OR ERRORS AND PROVIDES THE SERVICES AND ANY RELATED CONTENT OR PRODUCTS SUBJECT TO THESE TERMS ON AN “AS IS” BASIS.


10. Indemnification

You will indemnify and hold LawyerHill, its directors, officers, employees, agents, consultant, contractors, partners, vendors and service providers (including, without limitation, hosting and telecommunications providers) harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of your access to and use of the Platform or your violation of these Terms, or your infringement or any third party using your account, of any intellectual property right.


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAWYERHILL AND ITS AFFILIATES SHALL NOT BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE PLATFORM (I) FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, OPPORTUNITIES, REPUTATION, PROFITS OR REVENUES, OR (II) FOR ANY DIRECT DAMAGES, EVEN IF LAWYERHILL OR ITS AFFILIATES HAVE BEEN TOLD OF THE POSSIBILITY OF SUCH DAMAGE. NOTHING IN THIS LIMITATION OF LIABILITY SHALL PREVENT LAWYERHILL’S RIGHT TO SEEK AND OBTAIN EQUITABLE RELIEF. NOTWITHSTANDING SUCH RIGHT OF EQUITABLE RELIEF, TO THE EXTENT THAT APPLICABLE LAW DOES NOT PERMIT SUCH LIMITATION OF LIABILITY OR EXCLUSION OF LIABILITY, SUCH LIMITATION WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.


12. Other Provisions

Assignment

LawyerHill reserves the right to assign our rights and obligations under these Terms (in whole or in part) without your consent to an individual or company, or in connection with a merger, acquisition, corporate restructure or reorganization, or due to the sale of all or substantially all of our assets.

No waiver

If LawyerHill does not exercise a particular right under these Terms, that doesn’t waive it.

Severability

If any provision of these Terms is found invalid by a court of competent jurisdiction, you agree that the court should try to give effect to the parties’ intentions as reflected in the provision and that other provisions of the Terms will remain in full effect.

Entire agreement

These Terms (including any document incorporated by reference into them) are the whole agreement with regard to the Platform.
